Terms of Service

Effective Date: January 1, 2025

1) Overview of Services

Grid Getter provides smart energy automation and analytics for residential and commercial energy systems (e.g., battery storage, solar). Features may include demand optimization, site comparisons, schedules, alerts, and optional add‑ons such as DemandGuard.

2) Eligibility; Accounts

You must be at least 18 years old and able to form a binding contract. Registration requires a valid email and, to use energy features, linking a compatible third‑party account (e.g., Tesla). You are responsible for the security of your credentials and any activity on your account.

3) Third‑Party Connections (e.g. Tesla)

When you connect a third‑party account, you authorize us to access and process related data solely to provide the Services you request. You may revoke access at any time in the third‑party settings or by contacting us. We are not affiliated with or endorsed by Tesla. Your use of third‑party services is governed by their terms.

4) Subscriptions, Add‑Ons & Billing

  • Per‑Site Entitlements. Each site requires an active base subscription (e.g., “Automations”). Optional add‑ons (e.g., DemandGuard) may be purchased for a site only if that site has an active base subscription. If the base subscription is canceled or lapses, related add‑ons for that site automatically terminate at the same time.
  • Billing Cycle. Subscriptions renew automatically until canceled. Fees, taxes, and billing dates are shown at checkout and in your account.
  • Upgrades/Downgrades. Changing plans or add‑ons may result in prorated charges or credits according to our billing provider’s proration settings.
  • Cancellations. You may cancel at any time; service continues until the end of the paid term unless otherwise stated.
  • Refunds. All fees are non‑refundable except where required by law. Proration credits (if any) may apply on mid‑cycle changes; these are not cash refunds.

5) Acceptable Use

You agree not to misuse the Services, including by attempting unauthorized access, interfering with operations, or using the Services in violation of utility, grid, or third‑party terms. You are solely responsible for your sites’ compliance with local utility rules and safe operation of your equipment.

6) Service Availability; Beta

The Services may include beta or experimental features provided “AS IS.” We do not guarantee uninterrupted availability. Features and limits may change without notice. For beta features, functionality may be added or removed at any time.

7) Data; Privacy; License

  • Privacy. Our Privacy Policy explains how we collect and use information. You control third‑party connections and may request deletion at any time.
  • Your Data. As between you and Grid Getter, you retain ownership of your data. You grant us a limited license to process your data solely to provide and improve the Services (e.g., comparisons, automations, support, security).
  • Aggregated/De‑identified Data. We may create and use aggregated or de‑identified data that does not identify you, to improve features and for analytics.

8) Intellectual Property

The Services, software, and content are owned by Grid Getter and its licensors and are protected by intellectual property laws. Except for your data, you receive a limited, non‑exclusive, non‑transferable license to use the Services for your internal purposes.

9) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT SAVINGS, ACCURACY OF FORECASTS, OR UNINTERRUPTED, ERROR‑FREE OPERATION.

10) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER GRID GETTER NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE LESSER OF (A) US$100 OR (B) THE AMOUNTS YOU PAID TO GRID GETTER FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

11) Indemnification

You agree to defend, indemnify, and hold harmless Grid Getter and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your data, or your violation of these Terms.

12) Term; Suspension; Termination

We may suspend or terminate your access if you violate these Terms, pose a security risk, fail to pay fees, or as required by law. Upon termination, your right to use the Services ceases, but certain provisions will survive (e.g., ownership, disclaimers, limitations of liability).

13) Dispute Resolution; Arbitration; Class‑Action Waiver

Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting support@gridgetter.com. If we cannot resolve it within 30 days, either party may proceed as below.

Binding Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration under the Federal Arbitration Act. The arbitration will take place in Maricopa County, Arizona, in English, before a single neutral arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class‑Action and Jury Trial Waiver. You and Grid Getter waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding.

Small Claims. Either party may bring an individual action in small‑claims court in Maricopa County, Arizona.

30‑Day Opt‑Out. You may opt out of arbitration by sending written notice to support@gridgetter.com within 30 days of creating your account.

14) Export; Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. sanctions. You agree to comply with applicable export and sanctions laws.

15) Changes to the Services or Terms

We may modify the Services or these Terms. For material changes, we will provide notice (e.g., email or in‑app). Continued use after changes become effective constitutes acceptance.

16) Miscellaneous

  • Governing Law. Arizona law (without regard to conflict of laws) governs these Terms, except that the Federal Arbitration Act governs arbitration.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices. We may send notices to the email on your account or by posting within the Services.
  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement.
